Innovative Consolidated Solutions ("ICS") is a Nigerian technology company operating a digital agency and freelancer marketplace platform at innovativeconsolidatedsolutions.com. We provide web design, AI, SEO, and related digital services, as well as a marketplace connecting Nigerian employers with freelance digital professionals.

You are responsible for maintaining the confidentiality of your account credentials. All activity that occurs under your account is your responsibility. You must notify ICS immediately at info@innovativeconsolidatedsolutions.com if you suspect unauthorised access.
ICS reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or harm other users.
ICS agency projects are governed by separate project agreements and proposals. These Terms apply to all interactions on our platform. Project-specific terms supersede these general Terms where they conflict.
Agency service payments are due as specified in your project proposal. Overdue invoices beyond 14 days may result in project suspension. All prices are in Nigerian Naira (₦) unless otherwise stated. ICS accepts bank transfer, Paystack, and Flutterwave.
Upon full payment, ICS assigns ownership of deliverables (website code, designs, content) to the client. ICS retains the right to display completed work in our portfolio unless the client requests confidentiality in writing.
Each project includes a defined revision allowance as stated in your proposal. Work outside the agreed scope is subject to additional charges at ICS's standard rates.
Employers must post accurate job descriptions and honour accepted proposals. Employers may not contact freelancers for work outside the platform to circumvent platform fees for 12 months after first contact through ICS Marketplace.
Freelancers must maintain accurate profiles, deliver work as agreed, and meet stated deadlines. Repeated failure to deliver may result in account suspension and withheld ratings.
ICS charges a platform fee on marketplace transactions:

Job postings and proposals must not involve: illegal activities, copyright infringement, adult content, spam, or services that violate Nigerian law.
Employers fund escrow before work begins. Funds are held by ICS (via Paystack) and released only when the employer approves a milestone or the contract is completed. Escrow funds are not earning interest.
Employers must approve or reject submitted milestones within 7 business days. Failure to respond within this period constitutes automatic approval and triggers escrow release.
Escrow funds are refunded to the employer if: (a) no freelancer accepts the job, (b) the freelancer cancels before work begins, or (c) a dispute is resolved in the employer's favour. Refunds are processed within 5-10 business days via the original payment method.
Disputes must be filed within 14 days of the disputed event. ICS will mediate and issue a binding decision within 14 business days. ICS's decision on disputes involving escrow funds is final.
Our AI Concierge and Voice Agent are provided for information and assistance purposes only. Responses are generated by AI and may be inaccurate. AI-generated content does not constitute legal, financial, or professional advice. ICS AI agents disclose their automated nature at the start of every interaction. Call recordings may be used for quality improvement.
ICS offers subscription tiers (Bronze, Silver, Gold) billed monthly. Subscriptions auto-renew unless cancelled at least 24 hours before renewal. No refunds are provided for partial subscription periods. Plan features may change with 30 days' notice to subscribers.
ICS affiliates earn 10% commission on the first payment made by each referred client. Commissions are paid monthly when the balance reaches ₦5,000. ICS may modify or terminate the affiliate programme with 30 days' notice. Self-referrals are prohibited and will result in commission forfeiture.
You must not:
To the maximum extent permitted by Nigerian law, ICS is not liable for: indirect, incidental, or consequential damages; loss of profits or revenue; loss of data; failure of third-party services (Paystack, Brevo, ElevenLabs). ICS's total liability for any claim is limited to the amount paid by you to ICS in the 3 months preceding the claim.
You agree to indemnify and hold ICS harmless from claims arising from: your use of the platform, violation of these Terms, content you post, or transactions you enter into through the marketplace.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall be subject to the exclusive jurisdiction of the courts of Abuja, FCT, Nigeria. Where possible, disputes will first be resolved through good-faith negotiation.
ICS may update these Terms. Material changes will be communicated via email 14 days before taking effect. Continued use constitutes acceptance of updated Terms.
